Terms & Conditions

Services undertaken by Pixel Houze Print & Web Solutions (hereinafter referred to as Pixel Houze) and the Client will be governed by these Terms and Conditions.

1. Service

1. The Service to be carried out by Pixel Houze will be specified in the estimate. Such Service being determined through initial discussions and job related correspondence.
2. Pixel Houze will provide the Services as defined in the estimate.
3. Additional Services maybe added on over and above that specified in the estimate by mutual agreement and such services will attract additional charges.
4. Such additional services shall be acknowledged by the client in writing.

2. Time Frames

1. Time frames for completion of the service maybe mutually agreed upon by Pixel Houze and the client and will be specified in the estimate or job related correspondence. Such time frames, however, will only act as guidance not be of the essence in carrying out the Service specified in the estimate and any additional services mutually agreed to and confirmed in writing by the client.
2. Pixel Houze reserves to itself the right to vary service delivery dates and time frames.

3. Variations

1. Variations to the Service as defined in the estimate maybe made by mutual agreement.
2. Such Variations shall be confirmed in writing by the client.
3. Variations to the Service will result in additional charges over and above that are quoted in the estimate.
4. Variations to the Service will result in changes to service delivery time frames.
5. The Client by requesting such variations and being notified of the cost of such changes agrees to settle such charges at the time of service delivery.

4. Clients pictures/artwork

1. The Client agrees to provide imagery, photos, stock shots and electronic imagery and text in clear and legible form.
2. Where such content for use in carrying out the Service specified in the estimate is not clear or legible a charge will be made to cover additional work involved.
3. Unclear pictures and texts could result in changes to service delivery time frames.
4. The Client is required to provide imagery, photos, illustrations, stock shots and electronic imagery in the predetermined format as specified in the estimate or job related correspondence.
5. Imagery not so supplied could incur a charge for additional work required to prepare such images for its proposed use.
6. The Client ensures that all information required for carrying out the Service envisaged are provided to Pixel Houze within two days of confirming the Service specified in the estimate.
7. Where information/data is sent via electronic means the Client needs to ensure that such information/data has been received in a usable form.
8. The Client warrants that they have the right to copy artwork, pictures, photographs provided for the carrying out of the Service and agrees to indemnify Pixel Houze against any loss, damage, and expense which Pixel Houze may incur whether directly or indirectly, as a result of or in connection with the use of such material in carrying out the Service specified in the estimate.
9. Pixel Houze reserves the right not to use any materials, which it considers in its absolute discretion to be offensive, discriminatory, defamatory or potentially connected with any illegal activity or otherwise contrary to public or Pixel Houze’s interests.

5. Proofs

1. On receipt of Client’s information/data the customer will be provided a proof either electronically or by other means as specified in the estimate or otherwise agreed upon in the job related correspondence.
2. The Client undertakes to approve all proofs and on such approval Pixel Houze shall incur no liability for any mistakes/uncorrected information/data whether in the form of text, pictures, images, layouts or other manner.
3. In the event that the proof differs from the Client’s original information/ layout due to changes made by the Client, the Client will incur extra charges for any further alternation that needs to be made to accomplish the Client’s information or layout. Such changes will also result in new service delivery time frames.
4. Minor corrections will be carried out at no extra cost within a period of 14 days of providing the final artwork/text to the Client. However, where the Client’s alterations and additional proofs necessitated thereby are in the opinion of Pixel Houze to be significant, additional charges may accrue over and above that contained in the estimate.
5. Where fonts, text, style or layout is left to Pixel Houze’s judgement changes to such fonts, texts, style or layout will result in additional charges.

6. Charges

1. Charges for the Service to be carried out by Pixel Houze for the Client will be specified in the Service estimate.
2. Additional charges may be made due to mutually agreed variations/alterations to the Service defined in the estimate. Such additional work maybe due to quality of picture/image or text or changes to proofs or other alterations. All changes unless otherwise agreed to, will be billed at the current hourly rates.

7. Payment Terms

1. The Client undertakes to make payments for services requested and agreed upon.
2. The Client agrees to pay in advance 50% of the estimate on confirming the job and the remaining 50% on completion of the job.
3. The balance is due on delivery of the final artwork/material. The balance could be made up of the remaining balance outlined in the estimate and any additional charges for additional services the Client has requested and agreed to.
4. Additional fees will be payable for additional services not included in the estimate and charged on an invoice basis.
5. The value of each invoice shall be due in full to Pixel Houze in accordance with the terms of this agreement and the Client shall not be entitled to exercise any set-off, lien or other similar right to claim.
6. No refunds are payable in the event that the service is terminated by either party pursuant to the terms of this agreement and all outstanding and settlement charges shall become due immediately.
7. No materials or works held on the designated premises of Pixel Houze will be released until payment is received in full.
8. The Client agrees to pay charges when the Service provided requires an immediate payment by Pixel Houze to a 3rd party. Such charges may include payment for printing, or domain name registration or other set up costs.

8. Client’s responsibilities

1. The Client undertakes to provide all information/data/images by the due date in the form specified in the estimate or other job related correspondence.
2. The Client agrees to settle all payments on the due date.
3. The Client agrees to make any additional payments arising from services not specified in the estimate.
4. The Client agrees to pay Pixel Houze for any loss or extra costs incurred by Pixel Houze arising out of the Client’s instructions or lack of instructions or any act or default on the part of the Client, its servants and employees.
5. The Client agrees to provide instructions for changes in writing and acknowledgement of these instructions will be deemed to vary the terms of the estimate.
6. The Client agrees to make any additional payments arising from services not specified in the estimate. Such services may for instance be due to additional work due to poor picture quality or text and changes to proofs.

9. Delivery

1. Delivery of work shall be made by means agreed upon in the estimate or job related correspondence and shall be accepted when tendered.
2. Payment in full in a manner specified in the estimate shall be made on delivery of work.

10. Warranties and Liabilities

If and to the extent permitted by the law and not withstanding any other provisions of the Agreement:

• No warranty, condition or other term express or implied statutory or otherwise shall apply unless and except to the extent expressly contained in this Agreement.
• Any liability to which Pixel Houze might otherwise become subject shall in aggregate be limited to the cost of replacing the work.
• Pixel Houze shall not be liable for any fault or loss or delay of work while in transit from or to our Client or other company or for any consequential losses incurred by the Client.
• All property of the Client (or other related material supplied) is received and held entirely at the Client’s risk and the Client should insure accordingly.
• No member of staff or agent of Pixel Houze may waiver the terms of this Agreement or the estimate without a written confirmation signed by a minimum of two partners of Pixel Houze.
• Pixel Houze shall be under no liability in respect of any error arising from any information supplied by the Client.
• Pixel Houze shall not be liable to the Client for any consequential loss or damage (whether for loss of profit or otherwise) whether caused by the negligence of Pixel Houze or otherwise which arises out of or in connection with the supply of the services or the use by the Client as expressly provided in the conditions.
• If a claim is made against Pixel Houze that any graphic dseign/web page infringes any intellectual property rights of any person, insofar the claim arises from the use of any graphics, design or text supplied by Pixel Houze, the Client shall indemnify Pixel Houze against all such claims and liabilities.
